By accessing or using BrassDocs ("the Service"), operated by BrassDocs, Inc. ("we," "us," or "the Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

By creating an account, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms on behalf of yourself and, if applicable, the organization you represent.

BrassDocs provides an AI-powered contract analysis platform designed for real estate professionals. The Service analyzes uploaded legal documents and generates reports identifying potential risks, missing provisions, and other observations.

THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. All analysis, reports, risk assessments, flags, recommendations, negotiation points, compliance checklists, and any other output generated by BrassDocs are produced by artificial intelligence and are provided for informational and educational purposes only.

BrassDocs output does not constitute legal advice, legal opinion, or legal representation. The Service is not a substitute for the advice of a qualified attorney. No attorney-client relationship is created between you and BrassDocs, Inc. by your use of the Service.

You acknowledge and agree that:

• AI-generated analysis may contain errors, omissions, inaccuracies, or incomplete information.
• Risk scores, severity ratings, and similar assessments are approximations and should not be relied upon as definitive legal conclusions.
• The Service cannot account for all jurisdiction-specific laws, regulations, local customs, or case law that may affect the interpretation of a contract.
• All output should be independently reviewed and verified by a qualified legal professional before any action is taken or advice is given based on it.
• You bear sole responsibility for any decisions made or actions taken based on the Service output.
• Reliance on BrassDocs output without independent professional legal review is at your own risk.

BrassDocs identifies certain items as potential "malpractice risk" areas purely as informational flags to encourage further review. These flags are generated by AI and do not constitute a professional or legal determination that malpractice has occurred or will occur.

You acknowledge that BrassDocs, Inc. is not a law firm and does not practice law. We are not responsible for any claims of malpractice, professional liability, or negligence arising from your use of, or reliance on, the Service or its output.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to immediately notify us of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used in a manner that we reasonably determine to be harmful, fraudulent, or in breach of applicable law.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload documents that you do not have the right to share or analyze.
• Attempt to reverse engineer, decompile, or derive the algorithms or models underlying the Service.
• Use automated scripts, bots, or scrapers to access the Service without our written permission.
• Interfere with or disrupt the Service or its infrastructure.
• Resell, sublicense, or redistribute the Service or its output without our written consent.
• Upload malicious files, viruses, or content designed to damage the Service.

BrassDocs offers subscription plans with varying features and usage limits. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

• Free Trial: New users may receive a 14-day free trial. The trial includes limited usage as described on our pricing page. No credit card is required for the trial.
• Recurring Billing: Paid subscriptions are billed on a recurring monthly basis. You authorize us to charge your payment method on each renewal date.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Price Changes: We reserve the right to modify pricing with 30 days advance notice. Continued use after a price change constitutes acceptance of the new pricing.

The Service, including its software, algorithms, user interface, documentation, and all related intellectual property, is owned by BrassDocs, Inc. and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all documents you upload to the Service. By uploading documents, you grant us a limited, non-exclusive license to process and analyze those documents solely for the purpose of providing the Service to you.

Reports generated by the Service are licensed to you for your personal or professional use. You may share reports with clients and colleagues as part of your professional practice.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRASSDOCS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities.
• Damages arising from reliance on any analysis, report, or output generated by the Service.
• Damages arising from errors, omissions, or inaccuracies in the Service output.
• Damages arising from unauthorized access to or alteration of your data.
• Claims of malpractice, professional negligence, or professional liability related to your use of the Service.
• Any legal liability you incur as a result of acting on or sharing the Service output.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, RELIABLE, OR COMPLETE.
• ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ANALYSIS OR OUTPUT.
• ANY WARRANTY THAT THE SERVICE MEETS ANY SPECIFIC LEGAL, REGULATORY, OR PROFESSIONAL STANDARD.

You agree to indemnify, defend, and hold harmless BrassDocs, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service or any output generated by the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any claim that your use of the Service caused damage to a third party.
• Any professional liability or malpractice claim arising from your reliance on or use of the Service output.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 3, 4, 10, 11, 12, 14, and 15 shall survive any termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and BrassDocs, Inc. regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
• Modifications: We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.
